The legitimacy of decisions adopted at such meetings directly depends on the proper preparation of the agenda and compliance with notification deadlines. Mistakes or formal violations may result in court challenges, suspension of company operations, and corporate disputes.<\/p>\n<h2 data-start=\"7770\" data-end=\"7797\">Who Prepares the Agenda?<\/h2>\n<p data-start=\"7799\" data-end=\"7966\">According to the Law of Ukraine \u201cOn Joint-Stock Companies,\u201d the agenda is prepared by the body or person convening the general shareholders\u2019 meeting. This may include:<\/p>\n<ul data-start=\"7968\" data-end=\"8173\">\n<li data-start=\"7968\" data-end=\"8007\">the supervisory board of the company;<\/li>\n<li data-start=\"8008\" data-end=\"8065\">the executive body, if provided by the company charter;<\/li>\n<li data-start=\"8066\" data-end=\"8120\">shareholders holding at least 5% of ordinary shares;<\/li>\n<li data-start=\"8121\" data-end=\"8173\">the audit commission, in cases established by law.<\/li>\n<\/ul>\n<p data-start=\"8175\" data-end=\"8361\">Important: the initiators must formulate the agenda with clear wording for each issue subject to voting. Vague wording such as \u201cmiscellaneous\u201d or \u201corganizational matters\u201d is not allowed.<\/p>\n<h2 data-start=\"8363\" data-end=\"8395\">What Must the Agenda Contain?<\/h2>\n<p data-start=\"8397\" data-end=\"8466\">Each agenda item must be formulated in a way that clearly identifies:<\/p>\n<ul data-start=\"8468\" data-end=\"8771\">\n<li data-start=\"8468\" data-end=\"8566\">the essence of the issue, for example: \u201cOn Changes to the Composition of the Supervisory Board\u201d;<\/li>\n<li data-start=\"8567\" data-end=\"8670\">the type of decision to be adopted, for example: \u201cElection of a New Member of the Supervisory Board\u201d;<\/li>\n<li data-start=\"8671\" data-end=\"8771\">supporting materials \u2014 shareholders must have access to documents substantiating the agenda items.<\/li>\n<\/ul>\n<h2 data-start=\"8773\" data-end=\"8817\">Deadlines for Notification of the Meeting<\/h2>\n<p data-start=\"8819\" data-end=\"9021\">The Law of Ukraine \u201cOn Joint-Stock Companies\u201d establishes that notice of convening a general shareholders\u2019 meeting must be sent no later than 10 days and no earlier than 60 days before the meeting date.<\/p>\n<h2 data-start=\"9023\" data-end=\"9047\">Forms of Notification<\/h2>\n<ul data-start=\"9049\" data-end=\"9310\">\n<li data-start=\"9049\" data-end=\"9119\">written notification (registered mail) \u2014 if required by the charter;<\/li>\n<li data-start=\"9120\" data-end=\"9201\">publication on the company\u2019s website \u2014 mandatory if shares are publicly traded;<\/li>\n<li data-start=\"9202\" data-end=\"9310\">other methods agreed with shareholders, such as email or electronic accounts within the depository system.<\/li>\n<\/ul>\n<h2 data-start=\"9312\" data-end=\"9345\">The Notification Must Include:<\/h2>\n<ul data-start=\"9347\" data-end=\"9530\">\n<li data-start=\"9347\" data-end=\"9386\">date, time, and place of the meeting;<\/li>\n<li data-start=\"9387\" data-end=\"9402\">draft agenda;<\/li>\n<li data-start=\"9403\" data-end=\"9447\">procedure for reviewing meeting materials;<\/li>\n<li data-start=\"9448\" data-end=\"9530\">procedure for participation and voting \u2014 personally or through a representative.<\/li>\n<\/ul>\n<h2 data-start=\"9532\" data-end=\"9590\">Risks of Violating Notification Deadlines or Procedures<\/h2>\n<p data-start=\"9592\" data-end=\"9748\">Failure to comply with meeting convening requirements is one of the most common grounds for challenging meeting results in court.
