General meetings are the key governing body in both limited liability companies (LLCs) and joint-stock companies (JSCs). It is at these meetings that the most important decisions are made: amendments to the charter, appointment of management, profit distribution, admission of new participants, approval of transactions involving company assets, and other significant corporate matters.<\/p>\n

Improper organization of meetings may lead to invalidation of decisions, court disputes, and financial losses.<\/p>\n

General Principles of Holding Meetings<\/h2>\n

Regardless of the type of business entity (LLC or JSC), the organization of meetings must comply with the key requirements of Ukrainian legislation:<\/p>\n

  • the Law of Ukraine \u201cOn Limited and Additional Liability Companies\u201d (for LLCs);<\/li>\n
  • the Law of Ukraine \u201cOn Joint-Stock Companies\u201d (for JSCs);<\/li>\n
  • the Civil Code of Ukraine;<\/li>\n
  • the company\u2019s charter documents.<\/li>\n<\/ul>\n

    Even formal procedural violations may become grounds for challenging meeting decisions in court.<\/p>\n

    Stages of Organizing General Meetings<\/h2>\n

    1. Preparation<\/h2>\n
      \n
    • determining the date, time, and place of the meeting;<\/li>\n
    • preparing the agenda with a clear list of issues to be considered;<\/li>\n
    • preparing draft resolutions, amendments to the charter, reports, and other necessary documents.<\/li>\n<\/ul>\n

      2. Notification of Participants<\/h2>\n

      LLCs<\/h3>\n

      Participants must be notified no later than 10 days before the meeting date.<\/p>\n

      JSCs<\/h3>\n

      The notification period depends on the type of company (public or private), but generally must be at least 30 days before the meeting.<\/p>\n

      Notifications may be sent by registered mail, courier service, email (with participants\u2019 consent), or by other methods specified in the charter.<\/p>\n

      3. Holding the Meeting<\/h2>\n
        \n
      • registration of participants and maintaining the attendance register;<\/li>\n
      • verification of quorum;<\/li>\n
      • election of the chairperson and secretary of the meeting;<\/li>\n
      • discussion of agenda items;<\/li>\n
      • voting in accordance with the law and charter;<\/li>\n
      • recording decisions in the meeting minutes.<\/li>\n<\/ul>\n

        4. Preparation of Minutes<\/h2>\n

        The minutes must be prepared and signed by the chairperson and secretary of the meeting.<\/p>\n

        For certain matters, such as changes in company participants or amendments to the charter, state registration of the adopted decisions is mandatory.<\/p>\n

            Common Mistakes in Organizing General Meetings<\/h2>\n
              \n
            • improper or late notification of participants;<\/li>\n
            • violations of the procedure for convening or registering participants;<\/li>\n
            • failure to comply with quorum requirements;<\/li>\n
            • improper preparation of minutes, including missing signatures, dates, or inaccurate wording of resolutions;<\/li>\n
            • adoption of decisions beyond the authority of the meeting;<\/li>\n
            • absence of documents required for registration of adopted decisions;<\/li>\n
            • lack of video recording or participant identification evidence during online meetings.<\/li>\n<\/ul>\n

              Consequences of Violations<\/h2>\n

              Any of the above violations may become grounds for:<\/p>\n
