Despite their relatively small ownership stake, minority owners have legal rights that are often violated by majority owners or company management bodies. Therefore, protecting the rights of minority participants is an extremely important issue.<\/p>\n<p data-start=\"7657\" data-end=\"7802\">In this article, we will examine the rights of minority LLC participants and JSC shareholders, as well as effective ways to protect those rights.<\/p>\n<h2 data-start=\"7804\" data-end=\"7842\">Key Rights of Minority Participants<\/h2>\n<p data-start=\"7844\" data-end=\"7927\">Even a small ownership stake grants minority participants several important rights:<\/p>\n<ul data-start=\"7929\" data-end=\"8325\">\n<li data-start=\"7929\" data-end=\"7995\">the right to receive information about the company\u2019s activities;<\/li>\n<li data-start=\"7996\" data-end=\"8052\">the right to participate in general meetings and vote;<\/li>\n<li data-start=\"8053\" data-end=\"8107\">the right to receive dividends (a share of profits);<\/li>\n<li data-start=\"8108\" data-end=\"8174\">the right to challenge unlawful resolutions of general meetings;<\/li>\n<li data-start=\"8175\" data-end=\"8265\">the right to demand the convening of general meetings (subject to ownership thresholds);<\/li>\n<li data-start=\"8266\" data-end=\"8325\">the right to apply to court if their rights are violated.<\/li>\n<\/ul>\n<p data-start=\"8327\" data-end=\"8475\">These rights are guaranteed by the Law of Ukraine \u201cOn Limited and Additional Liability Companies\u201d and the Law of Ukraine \u201cOn Joint Stock Companies.\u201d<\/p>\n<h2 data-start=\"8477\" data-end=\"8518\">Main Problems Faced by Minority Owners<\/h2>\n<p data-start=\"8520\" data-end=\"8592\">In practice, minority participants often encounter the following issues:<\/p>\n<ul data-start=\"8594\" data-end=\"8878\">\n<li data-start=\"8594\" data-end=\"8636\">denial of access to company information;<\/li>\n<li data-start=\"8637\" data-end=\"8696\">adoption of decisions without considering their position;<\/li>\n<li data-start=\"8697\" data-end=\"8740\">falsification of general meeting minutes;<\/li>\n<li data-start=\"8741\" data-end=\"8802\">artificial reduction of profits to avoid dividend payments;<\/li>\n<li data-start=\"8803\" data-end=\"8878\">corporate pressure aimed at forcing minority owners to sell their shares.<\/li>\n<\/ul>\n<p data-start=\"8880\" data-end=\"8976\">Such actions violate the balance of interests among participants and create corporate conflicts.<\/p>\n<h2 data-start=\"8978\" data-end=\"9007\">How to Protect Your Rights<\/h2>\n<h2 data-start=\"9009\" data-end=\"9053\">1.
