2. Notification of Participants
LLCs
Participants must be notified no later than 10 days before the meeting date.
JSCs
The notification period depends on the type of company (public or private), but generally must be at least 30 days before the meeting.
Notifications may be sent by registered mail, courier service, email (with participants’ consent), or by other methods specified in the charter.
3. Holding the Meeting
- registration of participants and maintaining the attendance register;
- verification of quorum;
- election of the chairperson and secretary of the meeting;
- discussion of agenda items;
- voting in accordance with the law and charter;
- recording decisions in the meeting minutes.
4. Preparation of Minutes
The minutes must be prepared and signed by the chairperson and secretary of the meeting.
For certain matters, such as changes in company participants or amendments to the charter, state registration of the adopted decisions is mandatory.

Online meetings save time and resources, but require strict compliance with procedural requirements.

- improper or late notification of participants;
- violations of the procedure for convening or registering participants;
- failure to comply with quorum requirements;
- improper preparation of minutes, including missing signatures, dates, or inaccurate wording of resolutions;
- adoption of decisions beyond the authority of the meeting;
- absence of documents required for registration of adopted decisions;
- lack of video recording or participant identification evidence during online meetings.
