The collective investment market in Ukraine is rapidly growing, offering entrepreneurs and investors new opportunities to preserve and grow capital. However, creating a Collective Investment Institution (CII) requires careful legal support and compliance with regulatory requirements.

What is a Collective Investment Institution (CII)
A CII is a corporate or mutual investment fund that pools investors’ funds and manages assets to generate profit. In Ukraine, CII activities are regulated by the Law “On Collective Investment Institutions” and supervised by the National Securities and Stock Market Commission (NSSMC).
Depending on the legal structure and operation conditions, investment funds can be open-ended, interval, or closed-end; corporate or mutual. Choosing the appropriate CII structure is crucial for the success of the investment project.
Stages of Investment Fund Registration
1. Defining Fund Parameters and Document Preparation
Before registration, determine:

Type of fund (corporate or mutual)

Form (open-end, interval, or closed-end)

Asset management policy and investment strategy
At this stage, the charter, fund regulations, investment memorandum, and other founding documents are developed.
2. State Registration of the Legal Entity
If a corporate fund is being created, it must be registered in the Unified State Register as a legal entity.
3. Registration of the Fund with the NSSMC
A formal application must be submitted to the NSSMC with the following documents:

Founding documents

Information about the management company and supervisory board (if applicable)

Internal fund operation rules

Details on assets and investment strategy
The NSSMC reviews the documents and makes a decision on CII registration.
4. Issuance of Investment Certificates or Shares
The registered fund issues securities (shares or investment certificates) to attract investors’ funds.
5. Opening Accounts and Starting Operations
The fund opens accounts in banks and depository institutions and begins operations according to its investment policy.
