Legal assistance with updating company records
Running a business in Slovakia requires not only the initial company registration but also regular updates to its corporate structure. One of the most common procedures is the change of the managing director (konateľ). Although the process appears straightforward, it involves important legal nuances.
When a change of director is required
- The owner decides to transfer management to another person.
- The term of the current director’s mandate has expired.
- The director resigns from their position.
- The owners are dissatisfied with the director’s performance.
- Sale of the business or change in shareholding structure.
Stages of the procedure
1. Adoption of the decision
The shareholders or sole founder sign a resolution appointing a new director and dismissing the previous one.
2. Preparing documentation
- Consent letter from the new director.
- Documents confirming the termination of the previous director’s mandate.
- Criminal record extract (required in some cases).
3. Notarial certification
All documents must be notarised in compliance with Slovak legislation.
4. Filing with the Commercial Register
The completed documentation is submitted to the Obchodný register for processing.
5. Receiving confirmation
Once the register updates the records, the company receives an extract with the new official data.
