The development of digital technologies is gradually transforming traditional business processes, including the management of limited liability companies (LLCs). One of the most relevant issues today is the possibility of holding LLC general meetings online. How can such meetings be organized legally? What requirements does Ukrainian legislation establish? This legal guide outlines the key aspects for business owners, attorneys, lawyers, and real estate professionals.
Does Ukrainian Law Allow Online LLC Meetings?
Yes, Ukrainian legislation allows remote general meetings of LLC participants. The main regulatory acts include:
- the Law of Ukraine “On Limited and Additional Liability Companies”;
- the Civil Code of Ukraine;
- other by-laws and recommendations of state authorities.
This issue became especially relevant during the COVID-19 pandemic, when many companies were forced to switch to remote operations. Ukrainian legislation adapted to these realities and formally recognized the possibility of holding online meetings.
Main Requirements for Holding Online LLC Meetings
To ensure that online LLC meetings are considered legitimate, several key requirements must be met.
1. Provision in the Charter
The LLC charter must provide for the possibility of holding meetings remotely. If such a provision does not exist, participants may adopt a decision to amend the charter accordingly.
2. Consent of Participants
Company participants must be informed in advance about the meeting format and provide consent if remote meetings are not automatically permitted by the charter.
3. Choosing an Online Platform
The videoconferencing platform (such as Zoom, Microsoft Teams, Google Meet, etc.) must ensure:
- participant identification;
- the possibility of keeping meeting minutes;
- voting recording capabilities.
4. Recording Voting and Preparing the Minutes
The meeting minutes should be signed:
- with a qualified electronic signature (QES), which is the optimal solution for remote work;
- or with handwritten signatures after the online meeting, if agreed by participants.
Voting results may be recorded using electronic systems, audio recordings, and video recordings as attachments to the minutes.
5. Notification of Participants
Notification regarding the date, time, agenda, and meeting format must be provided in accordance with the law and the LLC charter, for example no later than 10 days before the meeting date.
What Issues Can Be Resolved at Online Meetings?
Online general meetings may consider all matters предусмотренные the Law of Ukraine “On Limited and Additional Liability Companies,” including:
- amendments to the charter;
- election of management bodies;
- profit distribution;
- decisions regarding the sale of real estate or other assets;
- approval of financial statements;
- admission of new participants.
Important: special attention should be paid to decisions involving real estate, corporate rights, and major financial transactions. For such matters, it is advisable to additionally document all stages of the decision-making process.

Despite the obvious advantages of remote meetings, certain risks remain:
- challenges to decisions if participants’ rights are proven to have been violated;
- difficulties with participant identification;
- technical failures during voting or communication.
